Freelancer Subscription Terms and Conditions

    1. Introduction

    1.1. These Terms and Conditions ("Terms") govern the use of the Freelancer.com Subscription Payments feature ("Subscription Payments") between freelancers ("Freelancers") and clients ("Clients") on the Freelancer.com platform ("the Platform").

    1.2. By using Subscription Payments, you agree to be bound by these Terms, Freelancer.com's general Terms and Conditions, and any other terms and conditions, policies, or agreements that apply to the use of our Platform.

    1.3. Freelancer.com reserves the right to modify these Terms at any time. We recommend that you check these Terms periodically to ensure that you are aware of any changes.

    2. Subscription Payments

    2.1. Subscription Payments is an optional feature designed to facilitate the automatic recurring payment of subscription-based services between Freelancers and Clients on the Platform.

    2.2. By using Subscription Payments, the Client authorizes Freelancer.com to send instructions to the financial institution that issued the Client's card or holds their PayPal account to take payments from the Client's card or PayPal account in accordance with the terms of the agreement between the Client and Freelancer.

    3. Consent and Authorization

    3.1. Clients using Subscription Payments provide their explicit consent for Freelancer.com to initiate payment(s) on their behalf by agreeing to the following statement: "I authorize Freelancer.com to send instructions to the financial institution that issued my card or holds my PayPal account to take payments from my card account or PayPal account in accordance with the terms of my agreement with the selected Freelancer."

    3.2. Clients must provide a verified payment method (either a credit card or PayPal account) to use Subscription Payments. Clients are responsible for maintaining the accuracy and validity of their payment method information.

    3.3. Clients or Freelancers modifying Subscription Payment Terms, Pricing or Frequency provide their explicit consent for Freelancer.com to initiate payment(s) on their behalf, in similar regard to clause 3.1.

    4. Payment Frequency

    4.1. The frequency of Subscription Payments may be set as monthly, yearly, or weekly, as agreed upon by both the Freelancer and the Client. The agreed-upon payment frequency will be specified in the subscription agreement between the Freelancer and Client.

    4.2. The Client's payment method will be charged automatically according to the agreed-upon payment frequency. Clients are responsible for ensuring sufficient funds are available for the payments.

    5. Pausing and Refunds

    5.1. Either party may pause the subscription agreement at any time. Pausing of the subscription agreement will result in the termination of the next subscription billing cycle, and no further payments will be processed unless the subscription is resumed by the Client.

    5.2. Any disputes or refund requests regarding Subscription Payments must be raised and resolved in accordance with Freelancer.com's general Terms and Conditions and dispute resolution process.

    6. Liability and Indemnity

    6.1. By using Subscription Payments, Freelancers and Clients agree to indemnify and hold harmless Freelancer.com, its affiliates, and their respective officers, directors, employees, and agents from any claims, demands, losses, liabilities, or expenses, including reasonable attorney fees, arising out of or in connection with the use of Subscription Payments or any breach of these Terms.

    7. Governing Law and Jurisdiction

    7.1. These Terms shall be governed by, construed and interpreted in accordance with the laws of the jurisdiction in which Freelancer.com is incorporated, without regard to principles of conflict of laws. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
